Terms of Use

These Terms of Service ("Terms") govern your access to and use of the products and services provided by ASQUAREI.AI (PRIVATE) LIMITED, operating as Asquarei ("Asquarei," "we," "us," or "our"), including the A²I Sales Agentplatform, the asquarei.ai website, and any related applications, integrations, and services (collectively, the "Services").

By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and "you" refers to that entity.

1. The Services

Asquarei provides an AI-powered sales agent platform that enables businesses to manage customer conversations across communication channels — including voice calls, website chat, WhatsApp, Facebook Messenger, Instagram Direct, and email — and to capture leads, qualify prospects, book appointments, and deliver payment links.

The Services include automated (AI-driven) conversation handling. You may configure, supervise, and take over any conversation at any time. Asquarei may update, improve, or modify features of the Services at any time.

2. Accounts and Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Services. You are responsible for:

• Providing accurate, current, and complete account information;
• Maintaining the confidentiality of your login credentials;
• All activity that occurs under your account, including activity by team members you invite under your account's user roles (Owner, Manager, Agent/Operator, Viewer).

Notify us immediately at info@asquarei.ai of any unauthorized use of your account.

3. Plans, Fees, and Credits

3.1 Plans. The Services are offered under a self-serve Basic plan and a sales-led Business plan. Features, limits, and settings available to you depend on your plan.

3.2 Fees. Fees are billed in advance on a recurring basis (monthly unless otherwise agreed). Business plan engagements may include a one-time build or integration fee as set out in your order or proposal. All fees are non-refundable except where required by law or expressly stated otherwise.

3.3 Usage credits. Certain usage (for example, voice minutes and messages) is metered as credits, weighted by action type. Credits reset on your billing cycle and do not roll over. If you enable auto-top-up, additional credits will be purchased automatically at the rates displayed in your account when your balance is exhausted.

3.4 Changes.We may change pricing with at least 30 days' notice. Continued use of the Services after a price change takes effect constitutes acceptance of the new pricing.

3.5 Taxes. Fees are exclusive of taxes. You are responsible for all applicable taxes, other than taxes on our income.

4. Your Responsibilities

You agree that you will:

• Use the Services only for lawful business purposes and in compliance with all applicable laws, including telemarketing, electronic communications, consumer protection, and data protection laws in the jurisdictions where you and your customers are located;
• Obtain and maintain all consents required to contact your leads and customers through the channels you enable (including consent for automated calls and messages where required by law);
• Honor opt-out, unsubscribe, and do-not-contact requests from your customers;
• Comply with the terms and policies of the third-party platforms you connect, including the WhatsApp Business Messaging Policy, Meta Platform Terms, and the acceptable-use policies of Google, Twilio, and SendGrid, as applicable;
• Ensure that the content, knowledge base material, and instructions you provide to the Services are accurate and that you have the rights to use them;
• Not use the Services to send spam, unsolicited bulk communications, or deceptive, fraudulent, harassing, or unlawful content.

You are the data controller of your customers' personal data processed through the Services; Asquarei processes that data on your behalf as described in our Privacy Policy.

5. Prohibited Uses

You may not:

• Resell, sublicense, or white-label the Services without our written agreement;
• Reverse engineer, decompile, or attempt to extract the source code, models, or prompts underlying the Services;
• Interfere with or disrupt the integrity or performance of the Services;
• Use the Services to impersonate any person or entity, or misrepresent that a human is speaking when disclosure of automated interaction is required by law;
• Upload malicious code or use the Services to violate the rights of any third party;
• Use the Services in connection with prohibited industries or content categories under the policies of the connected messaging platforms.

We may suspend or terminate accounts that violate this Section.

6. Third-Party Services

The Services interoperate with third-party platforms and providers, including Meta (WhatsApp, Facebook, Instagram), Google (Calendar, Meet), Twilio, and SendGrid. Your use of those platforms is governed by their own terms and policies. Asquarei is not responsible for the availability, performance, or policies of third-party services, and connected features may change or become unavailable due to changes made by those providers.

Payment links delivered through the Services direct your customers to your own payment provider. Asquarei never collects, holds, or processes your customers' payments.

7. AI-Generated Content Disclaimer

The Services use artificial intelligence to generate responses and take actions in conversations. AI output may occasionally be inaccurate or incomplete. You are responsible for configuring the agent appropriately (including its knowledge base, instructions, and do's & don'ts), for supervising its activity, and for the commitments made to your customers through your account. The Services are a tool operated under your direction and do not constitute legal, financial, or professional advice.

8. Intellectual Property

8.1 Our IP. Asquarei and its licensors own all rights in the Services, including software, models, designs, and the Asquarei and A²I marks. No rights are granted to you except the limited right to use the Services under these Terms.

8.2 Your data.You retain all rights to the data, content, and materials you submit to the Services ("Customer Data"). You grant us a limited license to host, process, and transmit Customer Data solely to provide and improve the Services and as described in our Privacy Policy.

8.3 Feedback. If you provide feedback or suggestions, we may use them without restriction or obligation.

9. Confidentiality

Each party will protect the other's non-public information with at least reasonable care and use it only as needed to perform under these Terms. This does not apply to information that is public, independently developed, or lawfully received from a third party.

10. Term, Suspension, and Termination

10.1 Term. These Terms apply for as long as you use the Services. Basic plan subscriptions renew monthly until cancelled. Business plan terms are set out in your order.

10.2 Cancellation by you. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period.

10.3 Suspension or termination by us.We may suspend or terminate your access for material breach of these Terms, non-payment, legal or security risk, or violation of a connected platform's policies that puts our platform access at risk. Where practical, we will provide notice and an opportunity to cure.

10.4 Effect. Upon termination, your right to use the Services ends. You may export your Customer Data before termination; after termination, data is handled per our Data Deletion Policy.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASQUAREI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY PARTICULAR BUSINESS OUTCOME (INCLUDING BOOKED APPOINTMENTS OR CLOSED SALES) WILL BE ACHIEVED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, OR DATA; AND (B) ASQUAREI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO ASQUAREI IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Nothing in these Terms limits liability that cannot be limited under applicable law.

13. Indemnification

You will defend and indemnify Asquarei against claims arising from (a) your Customer Data, (b) your use of the Services in violation of these Terms or applicable law, or (c) your failure to obtain required consents from your customers.

14. Modifications to These Terms

We may update these Terms from time to time. Material changes will be notified via the Services or email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

15. Governing Law and Disputes

These Terms are governed by the laws of Pakistan, without regard to conflict-of-laws rules. Disputes will be resolved in the courts of Karachi, Pakistan, unless applicable law provides otherwise.

16. General

These Terms, together with the Privacy Policy, Data Deletion Policy, and any order form, are the entire agreement between you and Asquarei regarding the Services. If any provision is unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
